About the Role

The Secretary is a key Board Officer responsible for maintaining the official corporate records and ensuring the integrity of the Board's governance processes. This role is the guardian of organizational memory and procedure. The Secretary takes official minutes at all Board meetings, manages official correspondence, and ensures all governance activities comply with the organization's Bylaws and the Canada Not-for-profit Corporations Act. This position is vital for upholding organizational Integrity & Trust.

Requirements

Key Responsibilities

  • Attend all Board meetings and record accurate, clear, and impartial minutes of the proceedings.

  • Prepare and distribute meeting agendas and materials to the Board in advance of meetings.

  • Maintain the official corporate records, including approved minutes, policies, and a current list of Directors.

  • Ensure all meetings (Board meetings, AGM) comply with the notice requirements set out in the Bylaws.

  • Manage official correspondence on behalf of the Board.

  • Provide new Directors with the official orientation package upon their appointment.

  • Serve as a member of the Board and fulfill all associated duties of a Director.


Required Skills & Qualifications

  • Organizational Skills: Exceptional attention to detail and organizational ability are paramount.

  • Written Communication: The ability to write clearly, concisely, and neutrally.

  • Discretion: Ability to handle confidential Board-level information with absolute discretion.

  • Understanding of Procedure: Familiarity with meeting procedures (e.g., Robert's Rules of Order) and governance documentation.

  • Reliability: Consistency and reliability in performing duties are essential.


Beneficial Skills

  • Previous experience as a Secretary on a non-profit board.

  • Experience as a paralegal, legal assistant, or in a corporate governance role.

  • Familiarity with the Canada Not-for-profit Corporations Act.
